By accessing or using UPMARK's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

UPMARK provides technology and marketing services including but not limited to:
- Mobile application development (iOS & Android)
- Website design and development
- E-commerce solutions
- API and system integration
- Digital marketing and branding
- Technical consulting
Project Agreements
Each project engagement will be governed by a separate project agreement or statement of work that outlines the specific scope, deliverables, timeline, and pricing. These project agreements form part of these Terms of Service.
Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete project requirements
- Respond to requests for information in a timely manner
- Make payments according to the agreed schedule
- Provide necessary access to systems and resources
- Review and provide feedback on deliverables promptly
Intellectual Property
Upon full payment, clients receive ownership of custom deliverables created specifically for their project. UPMARK retains ownership of pre-existing tools, frameworks, and methodologies. We reserve the right to showcase completed work in our portfolio unless otherwise agreed.
Payment Terms
Payment terms are specified in individual project agreements. Late payments may result in project delays or suspension of services. All fees are non-refundable unless otherwise stated in writing.
Confidentiality
We treat all client information as confidential and will not disclose it to third parties without your consent, except as required by law. This includes project details, business information, and any proprietary data shared during our engagement.
Limitation of Liability
UPMARK shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.
Termination
Either party may terminate a project agreement with written notice as specified in the project agreement. Upon termination, the client shall pay for all work completed up to the termination date.
Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the new terms.
